Terms of Service

These Terms of Service govern access to and use of the Triumvir platform, including the Life Companion service. They form a contract between you and The Midnight Lounge. Please read them carefully before creating an account or subscribing.
1. Acceptance of Terms
By creating an account, accessing the service, or using Life Companion, you confirm that you have read, understood, and accepted these Terms and the Privacy Policy. If you do not agree, you must not use the service.
The service may be used by individuals for personal purposes and, where available, by professionals. If you use the service on behalf of an organisation, you represent that you are authorised to bind that organisation.

- Triumvir: the platform operated by The Midnight Lounge, available in particular at triumvir.io.
- Life Companion: the financial trajectory projection, structuring, and decision-support service provided within Triumvir.
- User: any person who accesses or uses the service.
- Subscription: a paid Essential or Premium plan granting access to features beyond the free tier.
- User Data: information, amounts, assumptions, notes, scenarios, and other content manually entered by the user.
4. Account Access
Some features require an account. You agree to provide accurate information, protect your credentials, and promptly report suspected unauthorised access to legal@triumvir.io.
You must be at least sixteen (16) years old and have legal capacity. Minors must obtain guardian consent where required.
5. Service Description and Limits
Life Companion is a decision-support and financial trajectory projection tool. It lets you manually enter income, expenses, loans, reserves, balances, assumptions, and scenarios in order to obtain structured projections, indicators, and trade-off views.
The service does not connect to your bank accounts, hold funds, initiate transactions, or replace a bank, financial adviser, accountant, lawyer, tax adviser, insurance intermediary, or other regulated professional.
Outputs depend on the data and assumptions you enter. They are provided for information, reflection, and decision support only. They are not financial, investment, tax, accounting, legal, banking, insurance, or professional advice.
6. User Obligations
- use the service lawfully and in accordance with these Terms;
- not bypass security, pricing, or access controls;
- not enter data you are not authorised to process;
- not use the service for fraudulent, unlawful, abusive, or harmful purposes;
- remain responsible for the accuracy of your inputs and for decisions made on the basis of service outputs.
7. Subscriptions, Pricing, and Payment
Triumvir may offer a free tier and paid Essential and Premium subscriptions on a monthly or yearly basis. The applicable features, prices, and terms are those displayed on the pricing page at the time of subscription.
Payments are handled by Stripe Payments Europe Ltd. through Stripe Checkout. The Midnight Lounge does not collect or store full payment-card details. Paid access is provisioned after payment confirmation and receipt of Stripe billing events.
Prices include taxes where applicable. The actual tax treatment may depend on your location, status, and information provided at checkout.
Subscriptions are billed in advance for the selected period and may renew automatically unless cancelled before renewal. Certain payment-method and billing details may be managed through Stripe Billing Portal when available from your account.
8. Cancellation and Access Until Period End
You may request cancellation from your account settings where the feature is available. For Stripe-backed subscriptions, cancellation is scheduled for the end of the current billing period.
Except where required by law or where a withdrawal right applies, cancellation does not provide a pro-rata refund for the already paid period. Where the subscription remains active until the end of the paid period, you keep access to the corresponding paid features until that date.
Plan changes, upgrades, and downgrades may require specific features or procedures. You should not assume that a billing action is available unless it is shown as available in the interface.
9. EU Consumer Withdrawal Right
If you act as a consumer under applicable French or EU consumer law, you may benefit from a fourteen (14) day withdrawal right under Articles L221-18 and following of the French Consumer Code.
To exercise this right, email legal@triumvir.io before the period expires, identifying yourself and the email address associated with your account. You may also use the statutory withdrawal form where applicable.
Specific rules may apply to digital services or content, including where performance begins before the end of the withdrawal period. Triumvir does not intend to deprive consumers of mandatory legal rights; the practical outcome depends on the checkout flow, information provided at purchase, and applicable law.
10. Availability and Changes
The Midnight Lounge uses reasonable measures to provide a reliable and secure service. The service may nevertheless be interrupted or degraded due to maintenance, updates, incidents, security constraints, provider failures, or events outside reasonable control.
Features may evolve to improve quality, security, performance, or compliance. Where a change materially affects a paid subscription, The Midnight Lounge will seek to inform affected users within a reasonable time.
11. Intellectual Property
Triumvir, its interface, texts, graphics, software, methods, presentation models, content, trademarks, and related elements are protected by intellectual-property laws and belong to The Midnight Lounge or its licensors.
Use of the service grants only a personal, non-exclusive, non-transferable, revocable right to access and use the service for the duration of the relevant account or subscription and in accordance with these Terms.
12. User Data and Privacy
You retain ownership of data you enter into the service. You authorise The Midnight Lounge to host, store, process, display, and compute that data strictly as necessary to provide the service.
Personal data processing is described in the Privacy Policy. The Midnight Lounge does not sell personal data and does not use it for advertising.
13. Liability
The Midnight Lounge is bound by a duty of reasonable efforts, not a guarantee of result. It does not guarantee that projections will always be accurate, match your future situation, prevent loss, or produce any financial outcome.
You remain solely responsible for your inputs, assumptions, interpretation of outputs, and decisions. For important financial, tax, legal, accounting, banking, insurance, or wealth decisions, you should consult a qualified professional.
To the extent permitted by applicable law and without limiting mandatory consumer rights, The Midnight Lounge is not liable for indirect damages, loss of opportunity, lost profits, user-caused data loss, or decisions made on the basis of service outputs.
Nothing in these Terms limits liability that cannot legally be excluded, including fraud, gross negligence, bodily injury, or mandatory statutory guarantees.
14. Suspension or Termination by the Provider
The Midnight Lounge may suspend or restrict access in case of breach of these Terms, security risk, fraud, persistent payment failure, legal request, or conduct likely to harm the service or other users.
Where reasonably possible and compatible with service security or applicable law, the user will be informed and given an opportunity to remedy the breach before final termination.
15. Changes to These Terms
The Midnight Lounge may update these Terms. The applicable version is the one published on this page when you use the service.
For material changes affecting a paid subscription or user rights, The Midnight Lounge will seek to notify affected users by email or through the service before the change takes effect.
16. Governing Law, Mediation, and Disputes
These Terms are governed by French law, without prejudice to mandatory consumer-protection rules applicable in your country of residence where those rules apply.

In accordance with French consumer law provisions relating to consumer dispute mediation, after contacting us first and if the response provided does not satisfy you, you may use the following consumer mediation service free of charge:

The former European Online Dispute Resolution platform has not been operational since July 20, 2025. Consumers should use the designated consumer-mediation mechanism above where applicable.
Failing amicable resolution, disputes will be submitted to the competent courts under applicable jurisdiction rules, including mandatory protective rules for consumers.
